- There shall not be any caution deposit for issuance of the dealership and further the dealership shall be for exclusive area and non-exclusive area. Where it is referred as exclusive dealership then the dealer alone shall operate as the sole dealer and dealership to others will not be allotted in respect of that area by SIVAM TRADERS Where the dealership is for non-exclusive area, there shall be more than one dealer appointed by SIVAM TRADERS for that area and the purpose of defining an area shall be a single revenue district.
- The Dealer may endeavor to increase the retail sale by giving suitable commission to the sub dealer whom they may appoint for this purpose. However, the commission payable by SIVAM TRADERS to the Dealer shall remain the same.
- The Dealer shall pay the amount (including all applicable taxes) in advance for the quantity of goods supplied. The mode of payment shall be by Cash, Demand Draft, RTGS, NEFT or DIGITAL Transfer.
- The goods shall be dispatched within 5 (five) days by SIVAM TRADERS on receipt of the payment
- Transportation may be arranged by SIVAM TRADERS, on request, to the dealer destination on chargeable basis
- While taking delivery of the goods from the transporters, if any damage is found in the packages, the dealer shall take open delivery and obtain a certificate from the transporter for such damages. Without such certificate no claim for the damage in transit shall be entertained by SIVAM TRADERS. The damage claim should be made within one week of taking delivery of the goods. - The Dealer shall sell the goods at the rate not exceeding the MRP printed by SIVAM TRADERSin the packaging.
- The dealer has to compulsorily show a target sale of, minimum of 1 metric tone of SOUTH MOUNT Branded Teas for a period of three months to retain their dealership, failing which SIVAM TRADERS shall have the right to unilaterally revoke the dealership.
- The dealers shall operate within the area for which they have been appointed as dealer. The dealer shall not open the packets / containers and blend or adulterate the products of Sivam traders and for any such violation, the dealer will be personally held responsible for the consequences.
- The dealer shall not sell the products which are either spoiled or diminished in value.
- The dealers appointed by SIVAM TRADERS shall promote South Mount Teas in their region. The period of contract for the dealership is one year from date of agreement. However, dealership is renewable by SIVAM TRADERS provided the performance of dealer is satisfactory particularly with reference to target and payment. South Mount reserves the right to terminate this contract at any time without assigning reasons thereof.
- There is no relationship of employer and employee between the SIVAM TRADERS and the Dealer of their employees, or any other relationship created or intended to be created by this contract.
- Sivam traders is not responsible or liable for any accident, injury caused, untoward incidents or mishappening etc., occurring to the dealer or their men in their course of sales and the Dealer may take necessary insurance in this regard.
- The Dealer shall possess necessary GST, license, as required by law and SIVAM TRADERS is in no way responsible on this account.
- South Mount shall have powers to terminate the dealership agreement with immediate effect in the event of breach of any of the terms and conditions of this agreement by the dealer.
- The dealer is at liberty to terminate the contract by giving 30 days’ notice in writing to the Sivam traders provided the dealer shall not have violated any of the terms and conditions of this agreement.
- If an exclusive dealer remains inactive without any sales activity for more than 2 months, SIVAM TRADERS reserves the right to appoint other eligible parties as a dealer to the same area without any prior intimation.
- The contract or any part of it or share of interest shall not be transferred or assigned by the dealer directly or indirectly to any other person or persons whomsoever without the written consent of SIVAM TRADERS.
- In case of any dispute between the dealer and the SIVAM TRADERS, the same shall be referred to the sole arbitration of the Chief Executive Officer of SIVAM TRADERS and his/her decision shall be final and binding.
- All legal disputes shall be within the Jurisdiction of Courts of Bangalore District.
- The SIVAM TRADERS reserves the right to make changes to the above terms and conditions at any time and the Dealer / Distributor will be subject to the terms and conditions in force at the time of entering into the dealership agreement.
